Revised Statutes for Approval at 2025 Annual General Meeting

Dear Members,
It is with great pleasure that we present to you the
English-language version of the revised statutes of the
British-Luxembourg-Society (the BLS), which have been approved by the
Council for submission to you for approval at the upcoming Annual General
Meeting.
As you may be aware, a revised law governing non-profit
associations has been introduced – the law of 7 August 2023 (the New Law).
As a consequence, the BLS has until the final quarter of 2025 to make the
necessary revisions to its statutes to ensure continuing legal compliance.
As part of that project, we took this opportunity to address some sections
of the current statutes that are either no longer fit for purpose, or that
have become anachronistic. During the drafting process, the Council have at
all times sought to adhere to the core principles of the BLS, whilst also
addressing the inevitable changes to its function that have taken place in
the decades since its founding.
The approval process of the revised statutes is rather
different from the resolutions customarily passed at our annual general
meeting. In fact, if the revised statutes are to be approved at that meeting
we require the approval of two thirds of the entire membership – not just
those present or represented. Accordingly, your participation (either in
person or by proxy) is essential to ensure that a subsequent general meeting
is not required.
The purpose of the publication of the text of the revised is
to give you, the members, as much time as possible to ask any questions, or
suggest any amendments, in advance of the annual general meeting. Should
